Terms of Service

1. Acceptance of Terms

By creating an account or using CoSound (“Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. CoSound is operated by CoSound (“we,” “us,” or “our”).

CoSound is a creator campaign platform that connects content creators with music promotion campaigns. Creators participate in campaigns by publishing content that uses tracks from the licensed audio libraries of platforms such as YouTube, Meta, and TikTok, and earn compensation based on campaign performance metrics.

2. Who Can Use CoSound

You must be at least 18 years old (or the age of majority in your jurisdiction) to use CoSound. By using the Service, you represent that you meet this requirement. Accounts are personal and may not be transferred or shared.

3. Roles and Access

CoSound has three user roles:

  • Creators — content creators who participate in campaigns by publishing videos using tracks from licensed platform audio libraries (YouTube Audio Library, Meta Sound Collection, TikTok Commercial Music Library, and similar) and earn compensation based on campaign performance.
  • Producers — campaign representatives or music promoters who create and manage campaigns, set target performance metrics, and review creator submissions.
  • Admins — CoSound staff who manage the platform, configure campaigns, and approve payouts.

Your role determines what actions you can take on the platform. CoSound reserves the right to change your role at its discretion.

4. Creator Obligations

As a creator you agree to:

  • Only submit video links to content that you created and own or have the right to submit.
  • Only use tracks from the official licensed audio libraries of the platforms on which you publish (e.g., YouTube Audio Library, Meta Sound Collection, TikTok Commercial Music Library). You are responsible for selecting music through the appropriate in-platform library tools and complying with the associated platform license terms.
  • Not use tracks from unauthorized sources, third-party uploads, or any audio that is not part of the relevant platform's official licensed library.
  • Not artificially inflate view counts, engagement metrics, or any other performance data through bots, click farms, or any other fraudulent means.
  • Provide accurate YouTube, TikTok, Meta, or other platform account information for view and performance verification.
  • Comply with the terms of service of any third-party platform (YouTube, TikTok, Instagram/Meta) on which you publish content.

5. Producer / Campaign Manager Obligations

As a producer or campaign manager you agree to:

  • Only create campaigns for tracks that are part of an official licensed audio library on the target platform(s) (YouTube, Meta, TikTok, or similar). You confirm that the music is licensed for use through that platform's official library and that creators do not require any separate license to use it.
  • Provide accurate campaign details, including the correct track reference, target platform(s), and target eCPM, so that creator earnings can be calculated correctly.
  • Not misrepresent track availability, licensing status, or campaign performance expectations to creators.
  • Accept that CoSound will use the campaign configuration to calculate and process creator compensation based on verified performance metrics.

6. Revenue Sharing

CoSound calculates creator earnings based on verified performance metrics (such as views or impressions) for submitted content and the target eCPM (effective cost per mille) configured for each campaign. The target eCPM is set at the campaign level by the producer or admin. Earnings are visible in your dashboard.

Payouts are processed after admin approval. CoSound does not guarantee a minimum payout and may withhold payouts if we reasonably suspect fraud, artificially inflated metrics, or a breach of these Terms. All earnings figures displayed in the dashboard are estimates until a payout is approved.

You are responsible for any taxes applicable to payments you receive through CoSound. CoSound may require you to provide tax information before processing payouts.

7. Content and Data

CoSound does not host or distribute music. All music used in creator videos must be sourced from the official licensed audio library of the relevant platform (e.g., YouTube Audio Library, Meta Sound Collection, TikTok Commercial Music Library). CoSound does not grant any music license to creators — the license is granted directly by the respective platform through its audio library.

By submitting a video link, you grant CoSound permission to access publicly available view and engagement data for that video for campaign-performance and earnings-calculation purposes.

You retain ownership of all video content you create.

8. Prohibited Conduct

You may not:

  • Use the Service for any illegal purpose or in violation of applicable laws.
  • Attempt to access another user's account without authorization.
  • Reverse-engineer, scrape, or otherwise extract data from the Service beyond normal use.
  • Upload malware, viruses, or any harmful code.
  • Harass, threaten, or harm other users.
  • Misrepresent your identity, affiliation, or content rights.

9. Account Termination

You may close your account at any time from your account settings. CoSound may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion, with or without notice.

Upon termination, your right to use the Service ends immediately. Any pending earnings at the time of termination for cause may be forfeited.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. CoSound does not warrant that the Service will be uninterrupted, error-free, or that revenue calculations will be free from errors arising from third-party distributor data.

11. Limitation of Liability

To the fullest extent permitted by law, CoSound and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, even if we have been advised of the possibility of such damages.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice in the dashboard. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which CoSound is incorporated, without regard to conflict-of-law principles. Any disputes will be resolved in the courts of that jurisdiction.
